TRAVEL VLOG – TERMS AND CONDITIONS

These Terms and Conditions are between Cristanero S.A., a company incorporated under Uruguay laws located at Montevideo at Rincon 477, office 802, by RUT Number 218063380019, (hereinafter referred to as “Cristanero”, “Us”), and users of the Travel Vlog portal (hereinafter referred to as “user”, “customer”, “your”). These Terms and Conditions (hereinafter, the “General Conditions”) govern the use of Travel Vlog (hereinafter, the “Travel Vlog Portal”) and apply to all users / subscribers of the Travel Vlog portal and the use of the service is subject to all notices, use the regulations and instructions disclosed to the user (s) on the Travel Vlog portal.

1- INTRODUCTION

Travel Vlog, the digital portal will be a one-stop destination for a travel content service. With the Travel Vlog Portal, you can access and view international and national videos, editorials, and viral content. The Travel Vlog portal is a subscription service, in which a registered user can access and view all the digital content they want available on the platform. By using this service, you acknowledge that you have read, understood, and accepted these Terms and Conditions and subscribe to “Travel Vlog” in a periodic subscription package and have access to the contents available on the platform. Video access also depends on the technical features of the device being used. The cost of the service is informed in point 3 below -COSTS AND PAYMENT-.

2 – SERVICES

After accessing the portal, you will have to opt for a subscription and accept the terms and conditions. You can access the subscription services listed here and access the contents on your mobile device via the Internet (MTN Network or Wi-Fi) from the Travel Vlog portal, subject to these terms and conditions. The service and content are intended for MTN subscribers only. The following services are available for use: The Travel Vlog portal will only be activated when the user requests for it. You can subscribe to the service by clicking on the “SUBSCRIBE” button (or equivalent) on the Travel Vlog portal, a detailed page of content available within the MTN Service and/or current microsite promotions. Cristanero S.A. may modify or remove content provided as part of the Services at any time without notice.

3- COSTS AND PAYMENT

There is a daily service cost for the Travel Vlog portal of 0.79 GHC which grants you unlimited daily access to the content catalog of Travel Vlog.

3.1 The cost will be charged to your balance (airtime) and the price indicated on the Travel Vlog portal and in the Welcome SMS you receive after subscribing. There will be no refunds for partial use of the service. This service will use data to browse and play videos, you shall therefore be responsible for insuring you have data.

4- SERVICE CANCELLATION

The Service will remain active, unless otherwise specified by the User, which can be canceled at any time by: Going to “Unsubscribe” section which can be found in the main menu by clicking on the icon in the upper left corner of the screen. In this section, just click on the option “Unsubscribe” and your subscription will be deactivated. MTN and Cristanero reserve the right to cancel your subscription at any time.

4.1 You can cancel your subscription to the Travel Vlog portal at any time. We do not provide refunds or credits for any partial utilization of the service before cancellation of the subscription. Please also note that the minimum time required to process the cancellation is 48 business hours from the initiation of the cancellation request. If you are not satisfied with the service of Travel Vlog, please contact our customer service team on 111 for any assistance.

5- CONTENT USE CONDITIONS

The Content(s) you access, and corresponding related rights are valuable intellectual property of their respective owners and may only be used on your phone on which they have been offered as an editorial or video to play on your phones only and for personal purposes. It is strictly prohibited to transmit content from your phone, regardless of the means or purpose of transmission. Furthermore, copying, redistribution or other use of the Content other than that for which it was offered is expressly prohibited.

The content offered using the service at any time means an offer or sale via “online” for users.

Due to the different characteristics and technical capabilities of various devices used to access the service, melodies heard while using the service may vary depending on the device being used.

  • From now on, the word “content” refers to the videos, features, and editorials that the user can access via their mobile phone and are published on the Travel Vlog portal.

6- PURPOSE

Through the Travel Vlog portal, MTN and Cristanero offers users access to videos, editorials and the use of various services and content made available by its service providers or by third parties from the Travel Vlog portal and / or contracted service and content providers (hereinafter the “Services”). MTN and Cristanero reserve the right to unilaterally modify, at any time and without prior notice, the presentation and configuration of the Travel Vlog portal, as well as the services and conditions necessary to use these Services.

7- CONDITIONS OF ACCESS AND USE OF THE TRAVEL VLOG PORTAL

7.1 Browsing the Travel Vlog portal requires a prior subscription to access and consume digital sports content. However, viewing content within the Service may be subject to subscription.

7.2 The user agrees to use the Travel Vlog portal in good faith, in accordance with all applicable laws in Ghana, these General Conditions and with good moral and generally accepted practices, especially the rules of online behavior and public order. The User agrees not to use the Travel Vlog portal and the MTN Services for illegal purposes, violate any applicable laws, harm the rights and interests of third parties or, in any way, damage, disable, overload or impair the Travel Vlog portal or impede the normal use or enjoyment thereof by users.

7.3 The user must refrain from obtaining or trying to obtain information, messages, graphics, images, sound files and / or images, photographs, recordings, software and, in general, any type of material accessible through the Travel Vlog Portal (hereinafter “Content”) using means or others that, depending on the case, have been made available for this purpose, or procedures that have been indicated for this purpose on web pages where the contents are or, in general, those normally used on the Internet for this effect, as long as they constitute a risk of damage or disable the portal, services and / or contents of the Travel Vlog portal.

7.4 The user agrees to use the content in good faith, diligently, correctly, and lawfully and undertakes to refrain from:

  • 7.4.1 Using the Content for purposes or effects contrary to the law, morals and generally accepted good customs, especially standards of online behavior or public order.

  • 7.4.2 Reproduce or copy, distribute, allow public access through any means of public communication, transform, or modify the Content, unless you have obtained the authorization of the corresponding rights, or it is legally permitted.

  • 7.4.3 Removes, ignore or manipulate the “copyright” and other data that identify the rights of Cristanero S.A., MTN or their owners included in the content.

  • 7.4.4 Use the Content and information of any kind obtained through the Portal of Travel Vlog or MTN Services to send advertising, communications for direct marketing purposes or any other commercial purpose, unsolicited messages addressed to a plurality of people independently its purpose and refrain from selling or disclosing such information.

  • 7.4.5 Generally, violate in any way the intellectual and / or industrial property rights of Cristanero S.A. and third parties whose content is found on the Travel Vlog portal.

8- PRIVACY

8.1 Any personally identifiable information submitted through the Travel Vlog portal is subject to our Privacy Policy, available on the website homepage Privacy@mtn.com. The date of any changes to our Privacy Policy will be indicated in the policy footnote.

8.2 If you wish to discontinue using our services on the Travel Vlog portal and delete your personal information from our database, you may notify MTN of such intention and complete the applicable request form.

8.3 We will store your personal information, phone number and country, for subscription and language purposes, for as long as we are legally required to. If there is no legal requirement, we will only store the collected information for as long as we need it.

9- THE USE OF THE PORTAL AND MTN CONTENT IS THE SOLE RESPONSIBILITY OF THE USER

You are aware and voluntarily accept that the use of the Travel Vlog portal, the Services and the Contents contained therein are your sole and exclusive responsibility.

10- EXCLUSION OF WARRANTIES AND LIABILITY

10.1 MTN and Cristanero S.A. do not guarantee the legality, reliability, and usefulness of the Content. MTN and Cristanero S.A. are not responsible for damages of any kind resulting from the transmission, dissemination, storage, availability, reception, obtaining or access to the content, including, but not limited to, damages and losses resulting from:

  • 10.1 The Customer’s Violation of the law, morals and generally accepted good manners, especially the rules of behavior on the internet or public order because of the transmission, dissemination, storage, availability, reception, obtaining or access to the Content.

  • 10.2 Customer’s violation of intellectual and industrial property, secrets, commercial and contractual commitments of any kind of honor rights to personal and family privacy and the image of persons of property rights and all other nature belonging to third parties because of the transmission, dissemination, storage, availability, receipt, obtaining or access to the Content.

  • 10.3 The Customer carrying out of acts of unfair competition and illegal advertising because of the transmission, disclosure, storage, availability, reception, obtaining or access to the Content.

  • 10.4 The lack of truth, accuracy, completeness, relevance and/or currency of the Content. Any inadequacies or low expectations generated by the Contents.

  • 10.5 The breach, delay in performance, defect, or termination for any reason of the obligations contracted by third parties and contracts made with third parties through or with access to the Content.

  • 10.6 Defects of any type of Content transmitted, disseminated, stored, and made available or transmitted or made available, received, obtained, or accessed through the Travel Vlog Portal.

Cristanero S.A. has no obligation and does not control the use of Users of the Travel Vlog portal or MTN Services and Content. Cristanero S.A. does not guarantee that users will use MTN’s cooking, Services and Content portal in accordance with these General Conditions, or that they will do so in a diligent and prudent manner. Cristanero S.A. is under no obligation to verify and ascertain the identity of users or the accuracy, validity, completeness and/or authenticity of data that users provide about themselves to other users. Cristanero S.A. is not responsible for damages of any kind resulting from the use of the MTN video portal or the Services and Content by users.

11- INDEMNITY

You agree to defend, indemnify and hold harmless MTN and Cristanero S.A., its licensors, parent company, subsidiary, associate, affiliates, partners, corporations, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debts and expenses (including, but not limited to, attorney’s fees) arising from: (i) your use of and access to the Travel Vlog portal; (ii) your violation of any term of the General Conditions; (iii) your violation of any third party rights, including without limitation copyright, property or privacy rights; or (iv) any allegation that your use of the Travel Vlog portal caused harm to third parties. This defense and indemnification obligation will survive the General Conditions and the use of the Travel Vlog portal.

12- LICENSING

MTN and its service / content providers grant a revocable, limited, non-exclusive, non-transferable, non-sub licensable license to access and make strictly personal and non-commercial use of the Travel Vlog portal and do not grant any license or authorization to any kind on its industrial and intellectual property or any other property or right related to the portal, services, or content of the Travel Vlog portal.

13- TERM AND TERMINATION

13.1 The offer of the Travel Vlog portal and other services is, in principle, indefinite, or until the user notifies MTN of his intention to cancel the use of the Travel Vlog Portal service. With 24 hours’ notice MTN is authorized to terminate or suspend the provision of the Travel Vlog portal and / or any of the Services at any time. Were reasonably possible, prior notice of termination or suspension of the Service will be given.

13.2 These General Conditions of Use come into force as soon as they are published on the Travel Vlog portal or notified to the user. By subscribing to the Service, you agree to comply with the General Conditions and acknowledge that you have contracted. If you do not agree with the General Conditions, do not proceed to access, or use the Services or Content. Cristanero S.A. or MTN may change the General Conditions at any time, upon notification on the Travel Vlog portal.

14- LEGAL NOTICE

14.1 Through these General Conditions, Cristanero S.A., its subsidiaries and / or affiliates inform users of the Travel Vlog portal the existence of technical features (such as links, banners, buttons) that links them to directories and search tools that allow to access web pages belonging to third parties (hereinafter, the “linked sites”). The user, therefore, must exercise caution when evaluating and using the services, information, data, files, products, and any type of material on linked sites. MTN and Cristanero S.A., their subsidiaries and / or affiliates do not guarantee or assume any responsibility for damages of any kind that may be caused by:

  • 14.1.1 The operation, availability, accessibility, or continuity of the linked sites.

  • 14.1.2 The maintenance of services, information, data, files, products, and any type of material on linked sites.

  • 14.1.3 The existing obligations and offers on the linked sites.

15- LINKED SITES

15.1 By using the linked sites, you acknowledge and agree that MTN and Cristanero S.A., their subsidiaries and/or affiliates do not guarantee that the linked sites or information provided by third parties are useful for carrying out any specific activity. By using linked sites, you acknowledge and agree that MTN and Cristanero S.A., their subsidiaries and/or affiliates are excluded from any liability for damages that may have been caused by the accuracy of the information or quality of the services contained or offered by third parties. parts or linked sites, or arising from connection with linked sites, both access to this page and use of the information contained therein are the sole responsibility of the user.

15.2 By using Travel Vlog portal, you acknowledge and agree that MTN and Cristanero S.A., their subsidiaries and/or affiliates do not guarantee the security of the linked sites, that users can effectively access the various web pages being represented by the linked sites made available for third-party content. By using these linked sites, you acknowledge and agree that MTN and Cristanero S.A., their subsidiaries and / or affiliates, are excluded from any liability for damages of any kind that may be caused by the lack of security of the linked sites.

15.3 By using the linked sites, you acknowledge and agree that MTN and Cristanero S.A., their subsidiaries and/or affiliates do not control and do not guarantee the absence of viruses in the content of the linked sites, nor the absence of other elements that could produce alterations on their computer systems or electronic documents and files stored on their computer systems.

16- INTELLECTUAL PROPERTY

16.1 By using the Travel Vlog portal, the user acknowledges and agrees that Cristanero S.A., its subsidiaries and / or affiliates are excluded from any liability that may be caused by the unauthorized use of trademarks or other intellectual property rights or in linked sites. Likewise, any references made in this Travel Vlog portal to any product, service, process, linked site, hypertext or any other information about which brands and / or domains sign, trade names or names used in manufacturing, supplier, etc. by others, in no time does it constitute or imply an endorsement or recommendation by MTN and Cristanero S.A., its subsidiaries and/or affiliates and in no event does Cristanero S.A., its subsidiaries and/or affiliates own or be responsible for them.

17- APPLICABLE LAW AND JURISDICTION

Any dispute or claim (contractual or non-contractual) arising out of or in relation to your subscribing to this service, will be governed by and construed in accordance with Ghanian laws. MTN and yourself submit to the exclusive jurisdiction of the Ghanian Courts alone.
